Terms & Conditions
This translation is provided for your convenience. The German version is legally binding.
§ 1 Scope
These General Terms and Conditions apply to all orders placed by consumers and businesses in our online shop. A consumer is any natural person who concludes a legal transaction for purposes that are predominantly outside their trade or independent profession (Section 13 BGB). A business is any natural or legal person or partnership with legal capacity acting in the exercise of its trade or independent profession when concluding the contract (Section 14 BGB). We only accept deviating terms of businesses if we expressly agree to them.
§ 2 Contracting party, conclusion of contract
Your contracting party is Schirmer GmbH CNC-Service, Unter den Eichen 15, 57635 Weyerbusch, Germany. The presentation of products in the online shop is not a legally binding offer but a non-binding invitation to order. You add items to the cart, enter your contact and delivery details at checkout, choose the payment method and accept the terms. Until you submit, you can correct all entries in the form fields and edit the cart. By clicking “Order with obligation to pay” you submit a binding offer to purchase the goods in the cart. If you pay by credit card, you are then redirected to the payment page of our payment service provider Stripe; the contract is concluded as soon as the payment has been successfully authorised there. For purchase on invoice and prepayment, we accept your offer with the order confirmation email you receive immediately after ordering.
§ 3 Contract languages, storage of the contract text
The contract can be concluded in German, English, Dutch, French, Polish, Danish, Spanish, Italian, Romanian, Slovenian and Ukrainian. We store the contract text. We send you the order details, these terms and the cancellation policy with the order confirmation email. With a customer account you can also view your orders there.
§ 4 Delivery and shipping costs
We deliver to all member states of the European Union as well as to Switzerland, Norway, Iceland and Liechtenstein. Shipping costs are added to the product prices; amounts, free-shipping thresholds and delivery times are shown on the “Shipping & payment” page and in the checkout before you submit your order. For prepayment, the delivery period begins on the day after the payment order has been given to the remitting bank; for all other payment methods, on the day after the contract is concluded. Working days are Monday to Friday excluding public holidays. Partial deliveries are permitted where reasonable for you; they do not cause you any additional shipping costs. For deliveries to countries outside the EU, customs duties and import charges may apply, which you bear.
§ 5 Prices and payment
Our prices for deliveries to Germany include statutory VAT of 19%. For deliveries to consumers in another EU member state, the VAT rate of the destination country applies. Tax-exempt deliveries (to businesses with a valid VAT ID in another EU country and to Switzerland, Norway, Iceland and Liechtenstein) are charged net. The checkout shows the final price before you submit your order. You can choose between credit card (processed by Stripe Payments Europe Ltd.), prepayment by bank transfer and, for businesses only, purchase on invoice. For prepayment you receive our bank details with the order confirmation; we ship once payment has been received. Invoices are payable within 14 days of the invoice date without deduction.
§ 6 Right of withdrawal
Consumers have a statutory right of withdrawal as described in the cancellation policy. You can also declare your withdrawal online using the “Withdraw from contract” button. We do not grant businesses a voluntary right of withdrawal.
§ 7 Retention of title
The goods remain our property until paid in full. With businesses, we retain title until all claims arising from the ongoing business relationship have been settled in full.
§ 8 Liability for defects
Statutory liability for defects applies to consumers. For businesses, claims for defects in new goods become time-barred one year after delivery; liability for defects in used goods is excluded. These restrictions do not apply to claims for injury to life, body or health, in cases of intent, gross negligence or fraudulent concealment, under a guarantee, under the Product Liability Act, or to recourse claims under Sections 445a and 478 BGB. Businesses must inspect the goods immediately after delivery and report defects without delay (Section 377 HGB).
§ 9 Liability
We are liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the Product Liability Act and to the extent of any guarantee we have given. In the event of a slightly negligent breach of an essential contractual obligation, the fulfilment of which makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely, our liability is limited to the foreseeable damage typical of the contract. Otherwise, liability for slight negligence is excluded.
§ 10 Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
§ 11 Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the country in which they have their habitual residence. If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes is our registered office in Weyerbusch, Germany.
